The Bank of Russia has proposed measures to enhance the transparency of public offerings, focusing on improving the information disclosed by issuers and adapting it to meet the needs of retail investors. The Russian equity market is recovering its potential, driven by internal resources, with retail investors playing an increasingly significant role. To ensure long-term investments, there is a need to strengthen trust and transparency in issuers’ information both during and after companies enter the capital market.

The Bank of Russia emphasizes updating document requirements crucial for investors, particularly securities prospectuses. These documents should include forecast indicators from issuers to aid investors in making informed decisions. However, summaries should remain concise and clear, providing key information such as financial indicators compared to previous periods, investment strategy descriptions, and assessments of future development.

Issuers are also encouraged to disclose sensitive information regarding share allotment plans and actual distributions among buyers. Additionally, it is important for investors to understand protective measure terms. Prior to a public offering, issuers must reveal any existing restrictions on securities sales by themselves or current shareholders and detail mechanisms used to stabilize share prices post-IPO.

Furthermore, the Bank of Russia suggests discussing regulation and standardization possibilities for services offered by IPO organizers. Professional involvement is expected to enhance IPO quality.

According to the regulator, implementing these initiatives will improve investor protection, increase trust in the Russian securities market, and expand IPO practices as a fundraising tool.
